Terms and Conditions

ROEN

The contractual terms on which you may use the Sygma platform.

Effective from 14 September 2026 · version 1.1

In short

  • —Sygma is an exam-preparation platform. It is not a medical service and gives no medical advice.
  • —Content is generated with AI from the bibliography uploaded to the platform. It can contain errors — always check the official source.
  • —Subscriptions renew automatically and can be cancelled at any time from the billing page, effective at the end of the paid period.
  • —You have a 14-day right of withdrawal. If you ask for immediate access to the digital content, that right lapses once delivery begins.
  • —Only upload material you are legally entitled to upload. Pirated material is prohibited and is removed on notice.

1. Who we are

The Sygma platform (also referred to in some materials as "MedAI"), available at sygma.ro and its subdomains, is operated by:

ItemDetail
Legal nameLouperkos Investments LTD
Registered officeEfesou, 9, 5280 Paralimni, Cyprus
VAT numberCY60045221P
Contact e-mailcontact@sygma.ro

In this document, "we", "us" or "the Provider" means Louperkos Investments LTD, and "you" or "the User" means the person who creates an account or uses the Platform. "Platform" or "Service" means the website, the web application and all functionality made available through them.

2. Acceptance of these terms

By creating an account, by ticking the acceptance box at sign-up, or by using the Platform, you confirm that you have read, understood and accept these Terms and Conditions and the Privacy Policy, which forms an integral part of this contract. If you do not agree with any provision, please do not use the Platform.

These Terms constitute a distance contract concluded by electronic means. The contract is formed when your account is created and confirmed and, for paid services, when payment is confirmed.

3. Description of the Service

Sygma is an AI-assisted learning platform for medical exam preparation, in particular for the Romanian National Residency Exam. Depending on your account role and plan, the Service includes:

For students

  • Practice sessions with multiple-choice questions selected adaptively according to demonstrated level;
  • Flashcards with spaced repetition;
  • A conversational assistant ("AI tutor") that answers questions about the material;
  • Timed exam simulations and exams scheduled by teachers;
  • Progress reports, topic-mastery maps and identification of gaps and recurring misconceptions;
  • Gamification elements: leaderboards, virtual coins and progression in a simulated environment ("hospital").

For teachers and institutions

  • Uploading bibliographic material in PDF format and automatic extraction of its content;
  • Reviewing and editing the extracted content before publication;
  • AI-assisted generation of questions and flashcards from your own material;
  • Organising the curriculum into exam boards, chapters and topics;
  • Collaborating with other teachers and following the progress of enrolled students.

Functionality evolves continuously. We reserve the right to add, change or withdraw features, subject to section 13.

4. Essential notice: the content is educational only

Sygma is an exam-preparation tool. It is not a medical device, not a healthcare service, and it does not provide medical advice, diagnosis or treatment recommendations for real cases.
  • Do not use the Platform for clinical decisions. The content must not be used to diagnose, treat or care for a real patient and does not replace the professional judgement of a physician.
  • The content is machine-generated. Questions, answer options, explanations, flashcards, illustrations and AI tutor responses are produced by artificial-intelligence models from the material uploaded to the Platform. Models can produce incorrect, incomplete or outdated information, including when the wording or the image looks confident and convincing.
  • The official source prevails. Where the Platform's content conflicts with the official exam bibliography, current clinical guidelines or your university's material, the official source always prevails. We recommend verifying essential information against the primary source.
  • We guarantee no results. We make no guarantee as to passing any exam, achieving any particular score or ranking, or fully covering an exam syllabus. Outcomes depend on factors outside our control.
  • No professional or doctor–patient relationship. Using the Platform does not create a professional care relationship between you and the Provider.

If you find a content error with the potential to mislead, please report it through the in-app feedback function or at contact@sygma.ro.

5. Eligibility and your account

  • You may create an account if you are at least 16 years old. If you are between 16 and 18, you need the consent of a parent or legal guardian to enter into this contract and for any paid subscription; by creating an account you confirm that you have obtained that consent.
  • The information you provide at registration must be true, complete and current. Keeping it up to date is your responsibility.
  • An account belongs to a single natural person. Sharing credentials, using an account jointly, or giving several people access to the same subscription is prohibited.
  • You are responsible for keeping your password confidential and for all activity carried out from your account. Tell us immediately if you suspect unauthorised access.
  • You can sign in with e-mail and password or with your Google account. If you use Google sign-in, Google's terms for that service apply in addition.
  • Platform roles (student, teacher, administrator) determine which features you can access. Teacher and administrator roles are assigned by us or by the institution that administers the relevant exam board.

6. Plans, prices and payment

  • The Platform may be offered in a free tier with limited functionality and in paid tiers as a subscription (Student plan or Teacher plan), billed monthly or yearly.
  • Current prices, currency and any applicable taxes are shown on the subscription page before you place your order. Prices displayed to consumers include applicable taxes unless expressly stated otherwise.
  • Payments are processed exclusively by Stripe, a third-party payment processor. We do not collect, see or store your full card details. Stripe's terms and policies apply to the payment.
  • Automatic renewal: the subscription renews automatically at the end of each billing period at the then-current price, until cancelled. By subscribing you authorise recurring charges to the payment method you selected.
  • If a payment fails, we may retry the charge and may suspend access to paid features until the situation is resolved.
  • Price changes: we will notify you of any price increase at least 30 days before it takes effect. If you do not agree, you may cancel before the effective date at no additional cost.
  • Invoices are made available to you through the Stripe billing portal, accessible from your account's billing page.

7. Right of withdrawal (14 days)

If you are a consumer (a natural person acting outside their trade, business or profession), you have the right to withdraw from this distance contract within 14 calendar days, without giving a reason and without penalty.

How to exercise it

Send us an unequivocal statement to that effect at contact@sygma.ro before the deadline expires. The period runs from the conclusion of the contract (for services and digital content). We will acknowledge receipt and refund any amounts due within 14 days of being informed, using the same means of payment.

The digital-content exception

The Service is supplied to you immediately and is entirely digital. By subscribing and ticking the corresponding box, you expressly request that supply begin immediately and acknowledge that you thereby lose your right of withdrawal once supply has begun and has been fully performed. This follows from European and Romanian consumer-rights legislation.

If you do not wish to lose the right of withdrawal, do not request immediate supply; in that case access will be activated after the 14 days have elapsed. Independently of this rule, we deal favourably with refund requests made within the first 14 days where the paid features have not been used substantially.

8. Cancellation and termination of the subscription

  • You can cancel at any time from your account's billing page. Cancellation takes effect at the end of the period already paid for; until then you keep access to paid features.
  • As a rule we do not refund amounts for the unused remainder of a subscription period after cancellation, except where the law requires otherwise or where the Service was significantly unavailable or non-conforming through our fault.
  • If the Service is not in conformity with the contract, you have the remedies provided by legislation on the supply of digital content and digital services: bringing into conformity, a price reduction, or termination of the contract, under the conditions set by law.
  • We may discontinue plans or the Service on reasonable notice, in which case we will refund pro rata any amounts paid in advance for the unused period.

9. Material you upload

Certain roles (in particular the teacher role) allow material to be uploaded to the Platform — for example, PDF files containing bibliography, images, notes and text ("User Content"). This section applies to any material you upload.

Your warranties

  • You own the copyright in the material or you hold a licence, an authorisation or a valid legal basis (for example, an applicable statutory exception) allowing you to upload and use it as described here;
  • The material does not infringe intellectual-property rights, image rights, confidentiality obligations or any other third-party rights;
  • The material does not contain third parties' personal data without a legal basis, contains no identifiable patient medical data, and includes no confidential information you are not entitled to share;
  • The material is not unlawful, defamatory, or obtained by circumventing technical protection measures.
Uploading pirated textbooks or material is strictly prohibited. We do not pre-screen uploaded content, but we act on notice.

The licence you grant us

You keep all rights in your User Content. You grant us a non-exclusive, worldwide, royalty-free licence, limited to the duration of your use of the Service, to store, reproduce, convert, segment, index and process the material — including by transmitting it to our document-processing and artificial-intelligence providers — solely in order to provide the Service to you (content extraction, generation of questions and flashcards, semantic search and the related features you enable). We do not use User Content for advertising and we do not sell it.

Notice and takedown

If you are a rights holder and believe material on the Platform infringes your rights, write to contact@sygma.ro identifying the material, evidence of your standing and your contact details. We review reports promptly and remove or block access to infringing material, and may suspend accounts that repeatedly upload such material.

10. Intellectual property in the Platform

  • The Platform, its source code, interface, name, logos, graphics, database structure, curriculum-organisation models and accompanying documentation belong to the Provider or its licensors and are protected by intellectual-property law.
  • We grant you a personal, non-exclusive, non-transferable and revocable right of use, limited to the duration of your active account and to your own study or teaching purposes.
  • Questions, flashcards, explanations, reports and other material generated in the Platform are made available to you for your own study, or for teaching within your institution. Resale, public redistribution, publication in competing question banks, systematic extraction or re-utilisation of a substantial part of the database is prohibited.
  • You may not use content from the Platform to train, fine-tune or evaluate your own or third parties' artificial-intelligence models.
  • Illustrations generated at your request (diagrams, charts, explanatory images produced by the AI tutor) are material generated in the Platform, not your content. They may be reviewed by our team and, if found correct, made available to the other users of the same exam board — without your name, without the message that requested them and without any other link to your account. You can ask for an illustration to be removed from the shared material by writing to the contact address.
  • Feedback, suggestions and proposals you send us may be used freely to improve the Service, with no obligation of payment or confidentiality towards you.

11. Acceptable use

You undertake not to:

  • share your account, credentials or subscription access with others;
  • extract content automatically (scraping, crawling, bulk download) or use unauthorised bots, scripts or automated tools;
  • circumvent or attempt to circumvent technical limitations, usage limits, access controls, or the separation of data by role and exam board;
  • decompile, disassemble or attempt to reconstruct the source code or model logic, beyond the limits mandatorily permitted by law;
  • deliberately overload the infrastructure, test for vulnerabilities without our prior written consent, or interfere with the Platform's security;
  • upload unlawful or malicious content, or content containing harmful code;
  • falsify results, leaderboards or progress indicators, including through multiple accounts or automation;
  • use the AI tutor to generate unlawful or abusive content, or to obtain information intended for real clinical use;
  • use the Platform for unauthorised commercial purposes, including providing tutoring services to third parties based on our content.

Breach of this section may lead to feature restrictions, suspension or closure of your account, under section 14.

12. Leaderboards, virtual coins and game elements

  • Virtual coins, points, streaks and other progression elements are purely symbolic. They have no monetary value, are not a means of payment, and cannot be converted into money, transferred between accounts or refunded; they are lost when the account is closed.
  • We may adjust the award rules, values and internal game economy to balance the experience, with no obligation to compensate.
  • Participation in leaderboards is optional to the extent that you choose your display name. The display name you choose and the associated performance indicators become visible to other participants in that leaderboard — pick a name you are comfortable appearing publicly.
  • We may exclude from leaderboards any results obtained through fraud, automation or the exploitation of bugs.

13. Availability and changes to the Service

  • We make reasonable efforts to keep the Platform continuously available, but we do not guarantee uninterrupted or error-free operation. Interruptions may occur for maintenance, updates, technical incidents or causes attributable to our infrastructure providers.
  • Where possible, we will announce planned maintenance with significant impact.
  • We may change, improve or withdraw features. If a change adversely and significantly affects the paid features you benefit from, we will inform you on reasonable notice and you may terminate the contract, with a pro-rata refund for the unused period, as provided by law.
  • Some features depend on third-party services (AI processing, payments, e-mail, hosting). Their unavailability may temporarily affect the Service.

14. Suspension and termination of the account

  • By you: you may stop using the Service at any time and request deletion of your account under the Privacy Policy. Deleting the account does not by itself create a right to a refund for the paid period.
  • By us: we may suspend or close your account if you breach these Terms, if your use presents a security or legal risk, if you fail to pay your subscription, or if the law requires it.
  • Except in serious or urgent cases, we will notify you beforehand and, where reasonable, allow you time to remedy the situation.
  • On termination, access to the Platform and to the content associated with the account is lost. Data is deleted or anonymised in accordance with the retention periods in the Privacy Policy. We recommend saving your own material beforehand.
  • Provisions on intellectual property, liability, indemnities and governing law survive termination.

15. Warranties and limitation of liability

The Service is provided with reasonable professional care. Beyond the warranties mandatorily provided by law in favour of consumers, we give no express or implied warranty as to fitness for a particular purpose, the complete accuracy of automatically generated content, or the attainment of any particular academic result.

To the extent permitted by law, we are not liable for: (i) indirect damage, loss of opportunity, data loss caused by you or a third party, or lost profits; (ii) the consequences of using educational content in a real clinical setting, contrary to section 4; (iii) exam results; (iv) unavailability attributable to third-party infrastructure providers or to force majeure.

For paid services and to the extent permitted by law, our total contractual liability for any claim arising out of the contract is limited to the amount you actually paid in the 12 months preceding the triggering event.

Nothing in this document limits or excludes our liability for death or personal injury caused by our fault, for fraud or gross negligence, or for any other liability that cannot lawfully be limited. Your mandatory rights as a consumer are not affected.

16. Indemnity

If a third party brings a claim against us as a result of material you uploaded or of your use of the Platform in breach of these Terms or of the law, you undertake to indemnify us for the reasonable damages, costs and expenses incurred, including legal fees, to the extent attributable to you. We will promptly inform you of any such claim and allow you to participate in the defence.

17. Force majeure

Neither party is liable for failure to perform caused by events beyond its control that are unforeseeable and insurmountable — including, without limitation: natural disasters, armed conflict, major power or network outages, large-scale cyber-attacks, restrictions imposed by authorities, or prolonged outages at essential infrastructure providers.

18. Changes to these Terms

  • We may update these Terms to reflect changes to the Service, to legislation or to our practices.
  • For substantial changes we will notify you by e-mail and/or through a visible in-app notice at least 30 days before they take effect.
  • If you do not accept the new version, you may terminate the contract before the effective date; continuing to use the Service after that date means you accept the new version.
  • The version in force, together with its effective date, is always published on this page.

19. Governing law and dispute resolution

  • This contract is governed by Cypriot law. If you are a consumer habitually resident in Romania or in another European Union member state, you additionally benefit from the protection of the mandatory rules of your country of residence, which this choice cannot set aside.
  • We encourage you to contact us first at contact@sygma.ro. We normally respond to complaints within 30 days.
  • Consumers in Romania may contact the National Authority for Consumer Protection (ANPC) — anpc.ro — and may use the alternative dispute resolution (ADR) mechanisms available under the law.
  • Disputes not settled amicably are resolved by the courts having jurisdiction under the law; consumers may also bring proceedings before the court of their own domicile, in accordance with the applicable European rules.

20. Final provisions

  • Severability: if a clause is held void or unenforceable, the remainder stays in force and the affected clause is replaced by a valid one that comes closest to the original intent.
  • Assignment: you may not assign your rights under this contract without our written consent. We may assign the contract as part of a reorganisation or transfer of business, without diminishing your rights.
  • Entire agreement: these Terms, together with the Privacy Policy and the details of your chosen plan, constitute the entire agreement between the parties regarding the Service.
  • No waiver: not exercising a right at a given moment does not amount to waiving it.
  • Language: the Romanian version of this document is the authoritative one. Translations are provided for convenience; in case of discrepancy, the Romanian version prevails.
